If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

AgentGRAI provides an AI-powered automation platform that includes, but is not limited to, the following services:

• Resume Transformation - AI-powered document processing and enhancement
• Lead Enrichment - Business data enrichment using Hunter.io, Apollo.io, and AI-powered analysis
• Voice Agents - AI voice agents powered by ElevenLabs for automated calling
• Email Campaigns - Automated email outreach via SmartLead and Gmail integration
• SMS Messaging - Text messaging capabilities via Twilio
• Task Management - Workflow automation with ClickUp integration
• Scheduling - Meeting booking via Calendly integration
• Technology Detection - Website technology stack analysis

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

To use the Services, you must:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities under your account
• Not share your account credentials with third parties

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

Organization Accounts

Organization accounts may have multiple users. The organization administrator is responsible for managing user access and ensuring all users comply with these Terms.

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Send unsolicited bulk messages (spam) or engage in phishing
• Harass, abuse, threaten, or impersonate others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Scrape or collect data without authorization
• Use the Services for any illegal or fraudulent purpose
• Resell or redistribute the Services without authorization
• Circumvent any access restrictions or rate limits

Email and Communication Compliance

When using our email campaign or messaging features, you must:

• Comply with CAN-SPAM, GDPR, CCPA, and all applicable anti-spam laws
• Only contact individuals who have consented or have a legitimate business relationship
• Include valid unsubscribe mechanisms in all marketing communications
• Honor opt-out requests within 10 business days
• Maintain accurate sender identification in all messages
• Not purchase or use third-party email lists without proper consent verification

Our Services utilize artificial intelligence and automation technologies. By using these features, you acknowledge and agree to the following:

AI-Generated Content

• AI-generated content may contain errors, inaccuracies, or biases
• You are responsible for reviewing and verifying all AI-generated output
• AI outputs should not be used as the sole basis for important decisions
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content

Automation Limits

• Your subscription plan determines your usage limits and rate limits
• Exceeding rate limits may result in throttling or temporary suspension
• We reserve the right to adjust rate limits to ensure platform stability
• Automated activities must comply with all applicable laws and regulations

Voice Agent Terms

When using AI voice agents:

• You must disclose that calls are AI-powered when required by law
• Comply with TCPA, GDPR, and all applicable telecommunication regulations
• Obtain proper consent before initiating automated calls
• Maintain accurate do-not-call lists and honor opt-out requests
• Not use voice agents for harassment, fraud, or deceptive practices

The Services integrate with various third-party platforms and services. Your use of these integrations is subject to:

• The terms and conditions of each third-party service
• Your own agreements with those third-party providers
• Any API usage limits or restrictions imposed by third parties

Third-party integrations include, but are not limited to: Hunter.io, Apollo.io, ElevenLabs, SmartLead, Twilio, ClickUp, Calendly, Stripe, and Google (Gmail). We are not responsible for the availability, accuracy, or performance of third-party services.

You are responsible for providing valid API keys and credentials for third-party services and for any costs incurred through their use.

Subscription Plans

We offer various subscription plans with different features and usage limits. By selecting a plan, you agree to pay the applicable fees as described on our pricing page.

Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise specified
• We accept payment via credit card through our payment processor, Stripe
• You authorize us to charge your payment method for recurring fees
• Failed payments may result in service suspension

Usage and Overage

• Each plan includes specific usage quotas (leads, enrichments, etc.)
• Usage beyond your quota may incur overage charges at plan-specific rates
• You can monitor your usage through the platform dashboard
• Usage quotas reset at the beginning of each billing period

Free Trials

We may offer free trials with limited functionality. Trial accounts may have reduced quotas and features. At the end of a trial period, you must select a paid plan to continue using the Services.

Our Intellectual Property

The Services, including all software, content, designs, logos, and trademarks, are owned by AgentGRAI and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services without our express written consent.

Your Content

You retain ownership of content you upload or create using the Services. By using the Services, you grant us a limited license to process, store, and display your content as necessary to provide the Services.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without obligation or compensation to you.

Our lead enrichment, technology detection, and data analysis services rely on third-party data sources and AI processing. You acknowledge that:

• Data provided through the Services may be incomplete, outdated, or inaccurate
• Email addresses, phone numbers, and contact information may not be current or valid
• Technology detection results are based on observable indicators and may not reflect actual technology usage
• Business analysis and recommendations are AI-generated and require human verification
• We do not guarantee the accuracy or availability of any enriched data

You are solely responsible for verifying data accuracy before taking any action based on information provided by the Services.

Termination by You

You may cancel your subscription at any time through the account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Abuse the Services or negatively impact other users

Effect of Termination

Upon termination, your access to the Services will be revoked. You may export your data before termination. We may retain certain data as required by law or for legitimate business purposes.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Results obtained through the Services will be accurate or reliable
• Any defects in the Services will be corrected
• The Services will meet your specific requirements

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTGRAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless AgentGRAI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable laws or third-party rights
• Content you upload or transmit through the Services
• Your email campaigns, voice calls, or other communications sent using the Services

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

Arbitration

At our sole discretion, we may require you to submit any disputes arising from these Terms to binding arbitration under the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date at the top of this page
• Sending an email notification for significant changes

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
